1. Definitions

  • "Client" or "You" refers to the individual or organization engaging our services.
  • "Services" refers to the consulting services provided by Veridiian Conss.
  • "Website" refers to our online presence accessible at our domain.
  • "We," "Us," or "Our" refers to Veridiian Conss.
  • "Content" includes all materials, information, and intellectual property on our website or provided in our services.

2. Acceptance of Terms

By accessing our website, requesting information, or engaging our consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

If you do not agree with any part of these terms, you should not use our website or services.

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services.

3. Description of Services

Veridiian Conss provides business consulting services to organizations, including but not limited to:

  • Foundation Assessment services
  • Strategic Facilitation services
  • Comprehensive Transformation Partnership services
  • Other consulting services as mutually agreed

Specific scope, deliverables, and terms for each engagement will be outlined in a separate engagement agreement or proposal.

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

4. Engagement Process

4.1 Initial Consultation

Initial consultations are provided to understand your needs and determine if our services are appropriate. These consultations do not create a formal client relationship.

4.2 Engagement Agreement

A formal engagement begins when both parties execute an engagement agreement or statement of work that specifies the scope, timeline, deliverables, and fees.

4.3 Scope Changes

Changes to the agreed scope require written consent from both parties and may result in adjusted fees and timelines.

5. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for the engagement
  • Make timely decisions and provide feedback as required
  • Provide reasonable access to relevant personnel and information
  • Respect the professional boundaries and expertise of our consultants
  • Comply with all applicable laws and regulations
  • Use our services and materials only for lawful purposes
  • Maintain confidentiality of our proprietary methods and materials

6. Fees and Payment

6.1 Pricing

Service fees are specified in our engagement agreements. All fees are stated in Thai Baht (฿) unless otherwise agreed.

6.2 Payment Terms

Payment terms will be specified in the engagement agreement. Typical arrangements include advance payment, milestone-based payments, or payment upon completion.

6.3 Late Payment

Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by Thai law, whichever is lower.

6.4 Expenses

Unless otherwise agreed, clients are responsible for reimbursing reasonable expenses incurred in delivering services, such as travel costs or materials.

6.5 Refunds

Refund policies, if applicable, will be specified in the engagement agreement. Generally, fees for services already rendered are non-refundable.

7. Intellectual Property

7.1 Our Intellectual Property

All content on our website and our consulting methodologies, frameworks, templates, and materials remain the intellectual property of Veridiian Conss.

Clients receive a limited, non-exclusive license to use materials provided during engagements solely for their internal business purposes.

7.2 Client Information

You retain all rights to information and materials you provide to us. By providing such information, you grant us a license to use it as necessary to deliver our services.

7.3 Work Product

Reports, assessments, and other deliverables created specifically for a client belong to that client upon full payment, except for our underlying methodologies and templates.

8. Confidentiality

Both parties agree to maintain the confidentiality of information designated as confidential or that should reasonably be considered confidential.

This obligation does not apply to information that: is publicly available, becomes public through no fault of the receiving party, was known prior to disclosure, or is required to be disclosed by law.

Our confidentiality obligations continue for three years after the engagement concludes, or longer if specified in the engagement agreement.

9. Professional Standards

We conduct our services in accordance with professional consulting standards and applicable laws. However, clients acknowledge that:

  • Our recommendations are advisory in nature
  • Implementation decisions remain with the client
  • Results depend on factors beyond our control
  • We do not provide legal, accounting, or financial advice unless explicitly stated
  • Clients should seek appropriate professional advice for specialized matters

10. Disclaimers

10.1 Website Content

Website content is provided "as is" for general information purposes. We make no warranties about the accuracy, completeness, or reliability of information on our website.

10.2 No Guarantee of Results

While we strive to provide high-quality services, we do not guarantee specific outcomes or results. Organizational improvement depends on many factors, including client implementation and external circumstances.

10.3 Professional Advice Disclaimer

Our consulting services should not be construed as legal, financial, accounting, or other professional advice unless we explicitly engage to provide such services. Clients should consult appropriate professionals for specialized advice.

11. Limitation of Liability

To the maximum extent permitted by Thai law:

  • Our total liability for any claims arising from services shall not exceed the fees paid for the specific engagement giving rise to the claim
  • We are not liable for indirect, consequential, incidental, or special damages
  • We are not liable for losses resulting from client's failure to implement recommendations or follow advice
  • Claims must be brought within one year from when the cause of action arose

This limitation does not apply to damages caused by our willful misconduct or gross negligence.

12. Indemnification

Clients agree to indemnify and hold harmless Veridiian Conss, its consultants, and affiliates from claims arising from:

  • Client's use of our services or materials
  • Client's violation of these Terms
  • Client's infringement of third-party rights
  • Inaccurate or incomplete information provided by Client

13. Termination

13.1 By Either Party

Either party may terminate an engagement with written notice as specified in the engagement agreement. Typical notice periods range from 14 to 30 days.

13.2 Effect of Termination

Upon termination, clients are responsible for fees for services rendered through the termination date. We will provide work completed to that point.

13.3 Survival

Provisions regarding confidentiality, intellectual property, payment obligations, and limitation of liability survive termination.

14. Dispute Resolution

14.1 Informal Resolution

In the event of any dispute, both parties agree to first attempt to resolve the matter through good-faith negotiations.

14.2 Mediation

If informal negotiations fail, parties agree to attempt mediation before pursuing litigation.

14.3 Governing Law

These Terms are governed by the laws of Thailand. Any legal proceedings shall be conducted in the courts of Bangkok, Thailand.

14.4 Language

The English language version of these Terms is the controlling version in case of any conflict with translations.

15. General Provisions

15.1 Entire Agreement

These Terms, together with any specific engagement agreements, constitute the entire agreement between the parties regarding the subject matter.

15.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect.

15.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign your rights or obligations without our written consent. We may assign our rights and obligations with notice to you.

15.5 Force Majeure

Neither party is liable for delays or failures in performance resulting from circumstances beyond reasonable control, such as natural disasters, government actions, or pandemics.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date.

Continued use of our website or services after changes are posted constitutes acceptance of the modified Terms. Existing engagements remain governed by the Terms in effect when the engagement was executed.
